Kevin Walsh partners with his clients to help them create new value in their businesses. With a focus on early state and emerging companies, Kevin’s work centers on transactions in the U.S. and other countries, including Australia and numerous countries in Europe and the Americas. He represents public and private businesses in a variety of industries, including health care, in the areas of:

  • Mergers and acquisitions (M&A), including venture capital and private equity
  • Equity and debt financing
  • Crowdfunding
  • General business counseling

Kevin combines a project manager’s attention to detail with solid business acumen (he holds an MBA) and a pragmatic, business-centric approach to the counsel he provides to clients. He has written and presented extensively on crowdfunding.

Experience in Action

  • Representing both financial and strategic buyers and sellers in acquisitions and divestitures.
  • Representing issuers and private equity and angel investors in equity offerings.
  • Representing lenders and borrowers in secured and unsecured credit facilities.
  • Representing clients in business entity formations, joint ventures and intellectual property (IP) licensing.
  • Drafting and negotiating transaction documents for asset purchases, securities purchases, divestitures, mergers and partnering transactions, as well as preferred stock offering documents, subscription packages and other investment documents for early-stage and emerging growth companies.
  • Advising on federal securities laws compliance and corporate governance issues.
