- Advising borrowers and lenders on commercial finance transactions and related issues, including secured and unsecured transactions, single-bank and syndicated commercial loans, asset-based financings, asset securitizations, mezzanine debt financing, construction loans, private placements, revenue bond credit enhancements and direct purchases (particularly in the senior living and health care industries), workouts and ISDA swap documentation and negotiation.
- Representing private equity buyers in acquisition financing transactions, working closely with the portfolio companies on their financing needs.
- Providing third-party legal opinions of finance transactions.
- Advising borrowers on covenant compliance.
Successes
- Represented the agent in connection with a syndicated, multicurrency, $70 million financing to multiple borrowers secured by domestic and foreign assets.
- Represented the agent in connection with a syndicated $200 million senior secured financing.
- Represented the agent in a syndicated, $70 million financing in connection with a private equity sponsor buyout of the borrower.
- Represented the agent in a syndicated, $30 million financing as part of a private equity sponsor buyout of the borrower.
