Rachel Taylor helps clients with complex domestic and international mergers and acquisitions (M&A), as well as a broad range of day-to-day general corporate, business and commercial matters. She regularly represents family-owned and privately held businesses, private equity funds and their portfolio companies, family offices, Fortune 500 companies, entrepreneurs and other corporate clients. Experience in Action
- Represents buyers and sellers in stock and asset acquisitions, mergers and divestiture transactions. Rachel represents buyers and sellers through the entirety of the transaction, from the planning stages to the negotiating and closing of the transaction, as well as during the transition process.
- Serves as outside general counsel for many clients, helping them triage and resolve daily questions and concerns.
- Advises clients on formation of legal entities, governance and shareholder arrangements.
- Reviews, drafts and negotiates a variety of commercial contracts, including terms and conditions, manufacturing agreements, supply agreements, services agreements, consulting agreements, distributor and sales representative agreements, and confidentiality and nondisclosure agreements.
- Helps clients negotiate and resolve various disputes with third parties, including supply chain and customer disputes.

- Successfully closed acquisition by private equity client of a large, family-owned Wisconsin company.
- Completed several acquisitions for a large family investment office and related fund.
- Guided a client with the launch of a new business operating nationwide.
