Experience in Action
- Represents buyers and sellers in M&A and divestiture transactions, with values of less than $1 million to greater than $1 billion. Patrick assists with transactions ranging from private equity acquisitions of multinational companies to the sale of local, family-owned businesses.
- Drafts supply chain agreements and other complex commercial contracts. He negotiates complex contracts with values in the hundreds of millions of dollars for clients in various industries, including food products, packaging, manufacturing, robotics, automotive and higher ed.
- Negotiates pre-litigation supply chain disputes. Clients turn to Patrick for assistance with supply chain disputes, including in connection with shortages, delays and various force majeure events.
- Assists startup businesses with entity formation matters. He regularly assists startup companies with establishing legal entities and complying with state business laws.
Successes
- Divestiture by private equity client of a medical packaging company with numerous international operations, with a sale price in excess of $500 million.
- Developing standard terms and conditions and form contracts for a privately held client and advising the client regarding risk mitigation strategies.
- Corporate restructuring of a $1 billion privately held company, in order to mitigate the risk associated with certain business lines.
- Negotiating the settlement of various supply chain disputes brought about by COVID-19 impacts and force majeure events.
- Assisting startup company in various initial corporate governance matters, including recommending and interfacing with U.S. and U.K. accountants.
- Assisting large public university with overhaul of its contract playbooks.
- Advising clients on compliance with Wisconsin's automatic renewal law governing business contracts (Wis. Stat. 134.49).
