Michael Fehser handles complex transactions and operational matters for corporate clients, including private equity funds and their portfolio companies, and other privately held businesses, focusing on:

• Mergers and acquisitions (M&A)
• Growth equity investments
• Debt financings
• General corporate matters

Michael also serves as outside general counsel to early-stage startups and a variety of investors, including venture capital sponsors, startup accelerators and family offices. Prior to rejoining Quarles, Michael was a senior associate at an Am Law top-five international law firm in Phoenix.

• Advising on sophisticated corporate transactions, including M&A, leveraged buyouts, auction processes, platform and add-on acquisitions, equity investments and compliance issues.
• Representing issuers and private equity and venture capital investors in equity and debt equity offerings, including preferred stock and convertible debt financings.
• Drafting and negotiating transaction documents for asset purchases, securities purchases, divestitures, mergers and partnering transactions, as well as preferred stock offering documents, subscription packages and other investment documents for early-stage and emerging growth companies.

• Represented a national specialty pharmacy in its $450 million equity sale to a health care private equity and venture capital fund.
• Represented a specialty infusion pharmacy in its $215 million equity sale to a health care private equity fund.
• Represented a dental partnership network in its series of more than a dozen strategic stock and asset acquisitions of regional dental practices across the United States.
• Represented a medical device company in connection with its Series A, Series B and Series C equity financings, totaling over $35 million.
• Represented a family office in a series of more than 10 minority investments in preferred equity financings across a range of industries.
