Technology transactions and data privacy counsel

Ami Zaveri provides pragmatic and tactical counsel on the often intersecting areas of technology licensing and use, intellectual property (IP) protection, information security and data privacy. Ami’s clients range from startups to large publicly traded and privately held companies in a variety of industries, including software developers and technology deployers, consumer services, logistics, health care, manufacturing, transportation and other industries. She has significant experience negotiating and structuring complex commercial and technology related transactions and counseling clients on a wide range of technology matters such as:

Experience in Action

  • Drafts and negotiates complex technology agreements, including click-wrap, cloud computing, licensing, software and technology development, hosting, EULAs, business and technology outsourcing, professional services, related intellectual property matters and nondisclosure agreements.
  • Drafts privacy policies and notices for B2B and B2C companies.
  • Counsels on data sharing practices and works with companies to develop compliance strategies.
  • Advises and drafts artificial intelligence (AI) usage policies and provides guidance to help minimize legal, business and regulatory risks.
  • Drafts and negotiates data protection agreements and privacy terms in commercial agreements.
  • Advises clients on compliance requirements under various U.S. federal and state data privacy and security laws, including the FTC regulations, the Children’s On-line Privacy Protection Act (COPPA), the Illinois Biometric Information Privacy Act (BIPA) and other state biometric laws, the California Consumer Privacy Act (CCPA) and comprehensive state privacy laws, and emerging artificial intelligence (AI) regulations.
  • Develops agreements, policies and procedures for enterprises including online terms of sale, website terms of use and related agreements for use with company websites, mobile applications and e-commerce sites.
  • Advises on matters related to mergers and acquisitions (M&A), including due diligence reviews of technology infrastructure, data privacy and security practices.
