The Securities and Exchange Commission is preparing to release rules designed to boost the clarity and ease of corporate disclosure, an effort that some lawyers say may fall short in making the process much simpler or more efficient.
The agency said the widely anticipated document, set to be released in coming months, could lead to significant changes to corporate prospectuses, quarterly reports and filings from emerging growth companies. While its goal is to overhaul the process, securities attorneys question how meaningful the changes will be.
"This is an important project and it is doubtful that significant change will happen soon," said Joe Masterson, a partner at the law firm of Quarles & Brady LLP who monitors disclosure issues.
